Software License Agreement

This Software License Agreement (“Agreement”) is a legal agreement between you (“Licensee”) and HY Analytics (“Licensor”) for the use of software products purchased through hyanalytics.net/products.

1. Grant of License

Upon purchase, the Licensor grants the Licensee a non-exclusive, non-transferable, perpetual license to use the purchased software for personal or internal business purposes, subject to the terms of this Agreement.

2. Permitted Use

The Licensee may install and use the software on a reasonable number of devices owned or controlled by the Licensee. “Reasonable number” means devices used by the Licensee or their immediate team within a single organization.

3. Restrictions

The Licensee shall not:

• Redistribute, sublicense, sell, lease, or rent the software to any third party
• Reverse engineer, decompile, or disassemble the software
• Remove or alter any proprietary notices, labels, or marks on the software
• Use the software to build a competing product or service
• Share license credentials or download links with unauthorized users

4. Intellectual Property

The software and all associated intellectual property rights remain the exclusive property of HY Analytics. This Agreement does not transfer any ownership rights to the Licensee.

5. API Keys & Third-Party Services

Certain products may require the Licensee to provide their own API credentials for third-party services. The Licensee is solely responsible for obtaining and maintaining valid API credentials, all costs associated with third-party API usage, and compliance with third-party service terms.

6. No Warranty / Limitation of Liability

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

7. Refund Policy

The Licensee may request a full refund within 30 days of purchase, provided the software has not been used beyond initial installation and testing. Refund requests should be directed to yogi@hyanalytics.net.

8. Updates

All software updates are included free of charge for the lifetime of the product.

9. Termination

This license is effective until terminated. HY Analytics may terminate this license immediately if the Licensee breaches any term of this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States.
